Summary of Request:
On December 6, 2005, the County of Mendocino, Board of Supervisors (BOS) authorized the Department of Public Health (PH) to enter into Agreement No. BOS-05-273, with KIPHS, Inc., in the amount of $75,000, to provide software license, installation, implementation, and data conversion, facilitating client management and service billing for PH. At the time, the Agreement was written as an evergreen Agreement, which would not terminate automatically. In late 2022, the funds for Agreement No. BOS-05-273 were fully expended, requiring either an Amendment adding funds to the existing Agreement, or a new Agreement to be executed in place of Agreement No. BOS-05-273, in order for services to continue.
On May 9, 2023, the BOS approved Agreement No. BOS-23-071 with KIPHS, Inc. in the amount of $8,774.54, to continue computer software application services for the period of January 1, 2022 through December 31, 2023, and to terminate the maxed-out evergreen Agreement No. BOS-05-273. The proposed Amendment to Agreement No. BOS-23-071 extends the termination date to December 31, 2024, and increases the amount to $13,161.81 to cover the annual service fee of $4,387.27. Once the proposed Amendment is executed, it will be effective for the full term of the Agreement, from January 1, 2022 through December 31, 2024.
In January 2024, after a lengthy review process, PH determined that the current service Agreement with KIPHS, Inc. continues to meet the software needs of PH; therefore, PH is seeking approval of the proposed retroactive Amendment.
