Summary of Request

On December 6, 2005, the County of Mendocino, Board of Supervisors (BOS) authorized the Department of Public Health (PH) to enter into Agreement No. BOS-05-273, with KIPHS, Inc., in the amount of $75,000, to provide software license, installation, implementation, and data conversion, facilitating client management and service billing for PH. At the time, the Agreement was written as an evergreen Agreement, which would not terminate automatically. In late 2022, the funds for Agreement No. BOS-05-273 were fully expended, requiring either an Amendment adding funds to the existing Agreement, or a new Agreement to be executed in place of Agreement No. BOS-05-273, in order for services to continue. PH decided to execute the new proposed Agreement, adding $8,774.54 for services from January 1, 2022 through December 31, 2023, and to terminate the maxed-out evergreen Agreement No. BOS-05-273.

 

The proposed Agreement is retroactive due to the time required to gather and review documents from 2005, and to negotiate a new Agreement with KIPHS, Inc.
